Terms of Service

These terms are an agreement between your business and Viridia Analytics LLC ("Viridia", "we"), which makes Vesaya. By creating an account or using Vesaya, you agree to them on behalf of your business.

1. Who can use Vesaya

Vesaya is for businesses. You must be at least 18 and able to agree to these terms for your business. You're responsible for everyone you invite (admins, office staff and crew) and for keeping sign-in details private.

2. Your data stays yours

Everything your business puts into Vesaya (customers, estimates, invoices, jobs, photos, messages and recordings) belongs to you. You give us permission to store and process it only to run Vesaya for you.

We don't sell your data, and we don't use it to train AI models.

You can export your data at any time. If you cancel, you can export for 30 days; after that we delete it as described in the Privacy Policy.

3. Contacting your customers

You're responsible for having permission to contact your customers by text, email or phone, and for following the laws that apply (including the TCPA and CAN-SPAM). Vesaya only sends to the phone number or email on the customer's record, and every customer message includes a way to opt out.

Texts and calls from Vesaya's assistant identify themselves as an automated assistant for your business. If you turn on call recording or the AI receptionist, you're responsible for any notice your state requires; the receptionist's greeting includes a recording and AI notice by default.

4. The assistant drafts, you decide

Vesaya's assistant drafts estimates, invoices, messages and schedules. Nothing goes to a customer or moves money until you approve it: on screen with Face ID, or by hearing it read back and saying "send it", followed by a 10-second undo.

Review what you approve. Prices it suggests are suggestions from your own past work. You're responsible for what you send.

5. Payments

Customer payments run through the payment company you connect (for example Stripe, Square, QuickBooks Payments or Flux) under their terms. Card numbers go to them, never to Vesaya. Vesaya isn't a bank or money transmitter.

6. Plans and billing

Vesaya Lite is free. Paid plans, seats and add-ons are billed monthly or yearly in advance, month to month with no contract and no setup fees. You can change or cancel any time in the Store. Adding a plan, seat or feature starts right away and is charged for the rest of the current period; removing one takes effect at the end of the period you already paid for, with no credit.

Founding 100 pricing ($67/month) stays locked for as long as the subscription stays active without a gap. It covers the Vesaya plan only; seats, add-ons and usage are at list price. If you cancel and come back, the price at that time applies. [Seasonal pause of up to 3 months a year keeps the price: Kevin to confirm.] It stays with the business if the business is sold.

Each plan includes a monthly amount of premium voice, texts and (with the AI receptionist) call minutes, shown in Settings. When premium voice runs out, the assistant switches to your phone's own voice for the rest of the month at no charge, unless you choose pay-as-you-go, which is billed at our cost plus a markup (currently 25%, covering taxes, payment fees and a small margin) up to the monthly limit you set. Texts and receptionist minutes past the included amount are billed the same way. Current rates are on vesaya.app/pricing and in Settings; we'll tell you 30 days before they change.

Promotional codes apply only as described when you use them. Refunds are covered in section 7.

Automatic renewal: paid plans, seats and add-ons renew automatically every month (or every year on yearly billing) at the price shown when you confirmed, until you cancel. We show the price, what renews and how to cancel before you confirm, and email a receipt after. For yearly plans we remind you 15 to 45 days before each renewal.

Cancel any time in the app (Store → Cancel) or by emailing support@vesaya.app. Cancelling stops the next renewal; you keep paid features until the end of the period you paid for, then the account moves to Lite (nothing is deleted).

Prices don't include sales tax, which we add where the law requires. If a payment fails we retry and tell you; after [14] days the account moves to Lite until it's fixed, and a business number is held for 14 more days before it can be released. We'll tell you at least 30 days before a plan price changes; the new price starts at your next renewal after that, and you can cancel before it does.

If you buy through Apple (in the iPhone app), Apple's terms apply to that purchase: Apple charges your Apple account and handles refunds, and you manage or cancel it in your Apple ID settings.

Features you turn on in the Store are set up in the app by you. Features that use a business number (missed-call text-back, the AI receptionist) need the phone carriers to approve texting registration first, which can take 1 to 3 weeks. Billing for them starts [when the number is live / on purchase: confirm].

7. Refunds

Trying Vesaya costs nothing: the free trial and Lite need no card, so there's nothing to refund.

Payments for plans, seats and features are non-refundable. That includes partial months, features you turned on but didn't use, seats you removed, and time left in a period after you cancel. When you cancel you keep everything you paid for until that period ends.

Usage charges are non-refundable once used: premium voice minutes, texts, AI receptionist call minutes and emails past what your plan includes, plus carrier and texting-registration fees. Every call your business number answers counts, including spam, robocalls and wrong numbers. We block known spam where the carriers let us, but no filter catches everything. You set a monthly limit for pay-as-you-go so there are no surprise bills.

We'll refund or credit you if: you were charged twice or charged by mistake (tell us within 60 days of the charge); Vesaya itself was unavailable through our fault for more than [24 hours in a row] in a billing period (a credit for those days, on request); or the law requires it.

We don't refund or credit for things outside Vesaya's control, including: your phone, its microphone or speaker, your internet or cell service; your phone's settings (microphone permission, Do Not Disturb, battery saver); outages, delays or decisions by carriers, Twilio, Apple, Google, Yelp, Zapier, Meta or your payment company, including texting registration that's delayed or rejected; spam, fake or fraudulent calls, leads and messages; and leads that don't book or customers who don't pay.

Purchases made through Apple in the iPhone app are refunded by Apple under Apple's rules, not by us.

Questions about a charge? Email support@vesaya.app first; most things are fixed the same day. If you dispute a charge with your bank or card company without contacting us, we may pause the account until the dispute is resolved.

8. Business numbers, calls and the AI receptionist

You can get a business phone number through Vesaya. It's provided through our telecom partner (Twilio) and assigned to your business while your subscription that includes it is active. Number fees and carrier pass-through fees are shown before you buy. If you cancel, the number is held for 30 days so you can port it to another carrier (14 days if the account closed for non-payment); after that it may be released.

To text customers, carriers require your business to be registered (A2P 10DLC). We submit your business details (legal name, EIN, address, website, sample messages) to the carriers' registry for you; texting starts once they approve it.

The AI receptionist tells every caller it's an AI assistant for your business. If calls are recorded, callers are told at the start; recordings are deleted after [90] days and transcripts are kept with the lead. On calls it can answer from the script you approved, take details, create leads and booking requests, and transfer calls. It can't quote prices you haven't approved, confirm bookings on its own, or take payments.

We can't promise that every call is answered or every text is delivered: calls and texts depend on carriers, our telecom partner and your callers' phones.

You're responsible for using your number, texts and calls lawfully: texting only people who contacted you or agreed to hear from you, honoring STOP requests (handled automatically), and following call-recording and telemarketing laws where you and your callers are. Vesaya is not an emergency service. Emergency calls (911) can't be made through Vesaya numbers, and the AI receptionist doesn't recognize or route emergencies, so keep a separate phone that can call 911.

9. Auto-responders and lead connections

You can connect lead sources (for example Yelp through Zapier, Facebook and Instagram, your website form, email) so new leads land in Vesaya and get a reply fast. Replies only go out automatically from templates you approved; everything else waits for you.

Those platforms are run by other companies and their terms and limits apply (for example Yelp's, Meta's and Zapier's). They can change or stop their features; we'll tell you if a connection is affected. You authorize Vesaya to read the leads and messages those connections send and to reply on your behalf as you set up.

10. The waitlist and Founding 100

Joining the waitlist is free and doesn't commit you to anything. Your place in line and referral moves are estimates; we may remove sign-ups that are fake, automated or self-referred.

Founding 100 pricing goes to the first 100 owners who start a paid Vesaya plan under the terms in section 6, and only while spots last. A waitlist position alone doesn't guarantee a spot.

11. Using Vesaya fairly

Don't use Vesaya to send spam, contact people who opted out, harass anyone, break the law, upload anything you don't have the right to, test our security without written permission, or try to reach another business's data.

We may suspend an account that puts other customers, carriers or the service at risk, and we'll tell you why when we can.

12. Connected accounts

When you connect Google, payment, accounting or social accounts, you sign in on their own pages and can disconnect at any time from Connections. Their terms apply to your use of their services.

13. Our software

Viridia owns Vesaya's software, name, design and assistant. You get a right to use it for your business while your account is active. Feedback you send us may be used to improve Vesaya.

14. Disclaimers and limits

Vesaya is provided as is and as available. We work hard to keep it running and secure but can't promise it will be uninterrupted or error-free.

The assistant and the AI receptionist can make mistakes: mishear a word, misread a number, or get a detail wrong. That's why nothing goes out without your approval. You're responsible for what you approve and send, and for the business details, prices and scripts you give the receptionist to work from.

We aren't responsible for problems caused by your devices, internet or phone service, by other companies' services (carriers, Twilio, Apple, Google, Yelp, Zapier, Meta, payment companies), or by calls, leads and messages from other people, including spam and fraud.

To the extent the law allows, Viridia isn't liable for indirect or lost-business losses (lost profits, missed jobs, missed leads or calls), and our total liability for any claim is limited to what you paid Vesaya in the 12 months before the claim, or $100 if you were on Lite. 15. Changes, law and contact

If we change these terms in a way that matters, we'll tell you in the app at least 30 days ahead. These terms are governed by the laws of Arizona.
